Memorandum of Stroyproekt Engineering Group 1. The Memorandum sets out fundamental principles relating to the formation and operation of Stroyproekt Engineering Group.
2. Stroyproekt Engineering Group is a multidisciplinary association of engineering companies being members of the Group (hereinafter “Members”) or associate partners (hereinafter “Partners”). Members and Partners of Stroyproekt Engineering Group share a common business strategy and human and professional values aiming to develop and improve the construction industry.
3. The overall goal of Stroyproekt Engineering Group is to join efforts of its Members and Partners to be capable to render the fullest possible range of design and engineering consultancy services, mainly for the transport construction sector in Russia and abroad. 4. ... 1. Members and Partners of Stroyproekt Engineering Group share a common business strategy and human and professional values aiming to develop and improve the construction industry.

4. Stroyproekt Engineering Group seeks to achieve together better results than each company on its own and meet targets of Members and Partners by means of a sustainable development of the Group and strengthening its position in general.
5. Stroyproekt Engineering Group strives to be result-oriented and render services in line with the highest international standards of quality.
6. Members and Partners of Stroyproekt Engineering Group carry out their activities respecting business practices as well as the spirit and the letter of laws of the countries where their projects are implemented.
7. Priorities of Stroyproekt Engineering Group:
8. Both in Russia and abroad, Members and Partners of Stroyproekt Engineering Group should provide services of higher quality than those offered by other market players. 9. Members and Partners should have diversified project portfolios ensuring a balanced mix of orders received within the Group and from external companies.
10. The services rendered within the Group should be competitive with those offered at the external market.
11. In case a Member’s or Partner’s offer is not competitive, an order can be placed to an external company. A practical procedure for such case is established by the Corporate Management Board of Stroyproekt Engineering Group.
12. The Corporate Management Board composed of senior executives of all member companies is responsible for coordination of the Group activities.
13. Members and Partners of Stroyproekt Engineering Group undertake to be guided by common policies and standards with respect to:
14. The parties agree to delegate certain rights and authorities to the Corporate Management Board in order to comply with provisions of clause 13 of the Memorandum. The scope of delegated rights and authorities shall be defined in a separate agreement.
15. Members and Partners jointly develop and implement the common policies of Stroyproekt Engineering Group via its Corporate Management Board.
16. Members and Partners seek to ensure the same high level of quality. The common quality system is controlled by the Corporate Management Board.
18. Stroyproekt Engineering Group has its own brand. Companies that join Stroyproekt Engineering Group may maintain and develop their own brands under the common brand of the Group to show their membership in Stroyproekt Engineering Group.
19. Joining Stroyproekt Engineering Group is formalised by signing the Memorandum, which implies that a joining company agrees with the principals and provisions described in the Memorandum and undertakes to implement and support measures ensuring provision of design and engineering consultancy services in accordance with the requirements set out in the Memorandum, and to maintain confidentiality of the information relating to Stroyproekt Engineering Group activities. All Members and Partners of the Group shall sign the Memorandum. In addition, the Memorandum shall be signed by senior executives of key business lines of Members and Partners.
20. Working together, Members and Partners shall be guided by the provisions of the Memorandum and are responsible for achieving set objectives irrespectively of their role in a project team.
21. The Memorandum enters into force following its signing and remains open to other companies.
22. The Memorandum can be amended at any time subject to the consent of all parties that signed it.

The Group organisation bases on its structural divisions that can form project teams depending on the purposes and the scope of a specific project. 1.3. Implementation of Personal Development and Cooperation Policies is responsibility of all divisional managers and every employee at any team level. 1.4. All internal documents, rules and procedures of Personal Development and Cooperation Policies are developed and implemented in accordance with the Law. 2. Cost efficiency: the social obligations of the Group are not intended to replace the state’s social obligations; 2.7.2.2. Ensuring change management via timely organisational measures, and revision of development goals and performance indicators under changed circumstances as well as change explanation and clarification to all employees; 3.1.4. Implementation of unified standards of the Policies in the member companies, including a single human resource administration and records system; 3.1.6.
